INTRODUCTION

These Terms of Use (“Terms”), together with our Privacy Policy, govern your access to and use of the mobile applications and related services (the “Services”) published by WarthogLab (“we,” “us,” or “our”), including, but not limited to, the applications “Universal Remote Control TV,” “AI Note Taker,” and any other applications we may make available on the Apple App Store and Google Play Store.

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not install, access, or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” will refer to that organization.

CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Changes will be posted within our Services or otherwise communicated to you. By continuing to use our Services after changes are posted, you accept the modified Terms. We encourage you to review these Terms periodically.

ELIGIBILITY

You must be at least 13 years of age to use our Services. If you are under the age of majority in your jurisdiction, you must have the consent of your parent or legal guardian. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

ACCOUNTS AND SECURITY

To access certain features, you may choose to create an account or log in via a third-party service (e.g., Apple or Google). You are responsible for safeguarding any credentials that you use to access the Services. You agree not to share your account details with others and to notify us immediately of any unauthorized use of your account. You are liable for all activities conducted through your account.

YOUR CONTENT

Our Services may allow you to submit or post text, images, or other materials (“User Content”). You retain all rights to your User Content. By submitting User Content, you represent and warrant that you have all necessary rights to do so and that your User Content does not violate any law or infringe any third party’s rights. We do not claim ownership of your User Content. However, by submitting User Content, you grant WarthogLab a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with providing and improving the Services.

SUBSCRIPTIONS AND PAYMENTS

Some features of our Services may be available only through a paid subscription. Subscription fees, billing cycles, and payment methods will be described in the App Store or Google Play Store listings. By purchasing a subscription, you agree to the applicable fees and terms. Your subscription will automatically renew unless you turn off auto-renewal at least 24 hours before the end of the current period. You can manage and cancel subscriptions through the respective store account settings. We do not handle refunds directly; please refer to the store policies of Apple or Google for more information on refunds.

TRIAL PERIODS

We may offer trial periods for certain subscription plans. If you cancel before the end of the trial period, you will not be charged. If you do not cancel, your subscription will automatically convert to a paid subscription at the end of the trial period.

INTELLECTUAL PROPERTY RIGHTS

The Services and all related intellectual property, including but not limited to text, images, graphics, logos, trademarks, user interface, design, and any software provided by WarthogLab or its licensors, are the exclusive property of WarthogLab and/or its licensors. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Services solely for your personal, non-commercial use. You may not reproduce, modify, distribute, sell, or lease any portion of the Services without our prior written permission.

PROHIBITED USES

You agree not to:

• Violate any applicable laws or regulations.

• Interfere with or disrupt the security or operation of the Services.

• Decompile, reverse engineer, or otherwise attempt to derive source code from the Services.

• Send spam, advertising, or any form of solicitation.

• Use the Services in any way that infringes upon the rights of others or violates these Terms.

We reserve the right to monitor use of the Services to ensure compliance with these Terms and to remove or disable access to any content or User Content at our sole discretion.

TERMINATION

We may suspend or terminate your access to the Services at any time and without notice if we believe you have violated these Terms or engaged in conduct that may cause liability or harm to others. You may also terminate your account at any time by following the account termination procedures or by contacting us. Upon termination, you remain bound by any obligations incurred prior to termination.

DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR DO WE MAKE ANY WARRANTY AS TO THE QUALITY, ACCURACY, TIMELINESS, OR RELIABILITY OF ANY CONTENT.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WARTHOGLAB OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU HAVE PAID US IN THE PAST SIX (6) MONTHS FOR THE SERVICES OR TWENTY DOLLARS (USD $20).

INDEMNIFICATION

You agree to indemnify and hold harmless WarthogLab, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or violation of these Terms.

GOVERNING LAW AND DISPUTES

These Terms shall be governed by the laws of France, without regard to its conflict of laws principles. Any legal disputes arising from these Terms or the Services shall be exclusively submitted to the courts located in the jurisdiction where WarthogLab is registered and resides.

SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the fullest extent permissible, and the other provisions shall remain in full force and effect.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WarthogLab regarding the Services, superseding any prior agreements.
